The Cleaning Academy shall carry out the work to the reasonable satisfaction of the customer and shall provide necessary staff and materials for this purpose, but shall not be responsible for the removal of oil, paint, varnishes or other similar substances, unless otherwise agreed in writing.
The Customer shall provide free of charge all power, light, hot water and other facilities which may be required by the Contractor to carry out their work, including the safe storage of materials and equipment.
This agreement may be terminated by the Customer, by giving one month's written notice received at the Contractors Offices. Failure to give the required notice will result in charges being levied for the shortfall in notice period.
Work to be carried out 5 days per week, Monday to Friday inclusive, at times to be arranged, excluding Saturdays, Sundays and Public Bank Holidays, unless stated in writing.
Invoices will be raised monthly and are to be settled in full by the Customer within 30 days from the invoice date. The Contractor reserves the right to charge interest on late payments at 8% above bank base rate.
Contracts will be invoiced over 12 months in equal installments. If the contract is terminated by either party before the annual anniversary for whatever reason, the contractor will invoice for any shortfall due to them. This shortfall will be calculated by the actual number of weeks cleaning that has been supplied against the total invoiced to termination date.
The Contractor will supply all equipment and clearing materials as necessary. All consumable products will be charged for when delivered to the customers' sites.
The contractor is insured for its legal liability, public liability and third party risks to a limit as disclosed, and is current at the time of quotation.
If at any time during this agreement there shall be any increase in the cost of wages, materials, compliance with any new legislation and any other out goings payable by the contractor, the contractor reserves the right to pass notice of these increases on to the customer.
The contractor shall not be liable for failure to carry out work if prevented from doing so as a result in circumstances beyond its control including (but without prejudice to the generality of the foregoing), any trade dispute, strike, lock-out or seasonal closure.
The customer will ensure that the premises are safe for the contractor's employees and ensure first aid boxes are available at all times in the areas where the contractor's employees are working.
The customer shall not during the period of the agreement, at any time, or for a six month period after termination of the agreement, solicit or accept the service of any employee or subcontractor of the contractor other than through TUPE. Failure to adhere to this condition will result in a one off charge being levied on the customer, which will be the equivalent of one year's salary or financial reward of the employee or subcontractor, respectively.
